1. Acceptance of Terms

By accessing and using the services provided by Deus Vult Digital LLC ("Company," "we," "our," or "us"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Services

Deus Vult Digital LLC provides web design, web development, digital strategy, and related digital services ("Services"). Our Services include but are not limited to:

  • Custom website design and development
  • E-commerce solutions
  • Content management systems
  • Search engine optimization (SEO)
  • Digital marketing strategy
  • Website maintenance and support
  • Hosting and domain management

3. Project Scope and Timeline

All projects will be governed by a separate Service Agreement that outlines specific deliverables, timelines, and costs. Any changes to the agreed-upon scope must be requested in writing and may result in additional charges.

4. Payment Terms

  • Payment schedules will be outlined in individual project agreements
  • Late payments may incur a 1.5% monthly service charge
  • All prices are in USD unless otherwise specified
  • Refunds are subject to the terms outlined in individual project agreements
  • We reserve the right to suspend services for non-payment

5. Client Responsibilities

Clients are responsible for:

  • Providing accurate and timely information, content, and materials
  • Reviewing and approving deliverables within agreed timeframes
  • Maintaining current backups of their website and data
  • Ensuring content provided does not violate any laws or third-party rights
  • Making timely payments as agreed

6. Intellectual Property

Upon full payment:

  • Clients own the rights to custom content created specifically for their project
  • We retain rights to general methodologies, frameworks, and reusable code
  • Third-party components remain the property of their respective owners
  • We reserve the right to showcase completed work in our portfolio

7. Warranties and Disclaimers

We warrant that our Services will be performed in a professional manner. However:

  • We do not guarantee specific results or outcomes
  • We are not responsible for third-party service failures
  • Website performance may vary based on factors beyond our control
  • Our liability is limited to the amount paid for Services

8. Maintenance and Support

Post-launch support and maintenance services are available separately and will be governed by a separate maintenance agreement. Emergency support may be available at premium rates.

9. Termination

Either party may terminate Services with written notice. Upon termination:

  • Payment is due for all work completed
  • We will provide completed deliverables upon full payment
  • Ongoing hosting or maintenance services will be discontinued

10. Confidentiality

We will maintain the confidentiality of all proprietary information shared during the course of our business relationship and will not disclose such information to third parties without consent.

11. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, or technical failures.

12. Governing Law

These terms shall be governed by and construed in accordance with the laws of [Your State/Jurisdiction], without regard to its conflict of law provisions.

13. Limitation of Liability

In no event shall Deus Vult Digital LLC be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, or other intangible losses.

Client agrees to indemnify and hold harmless Deus Vult Digital LLC from any claims, damages, or expenses arising from content provided by the client or client's use of our Services.

15. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to our website. Continued use of our Services constitutes acceptance of revised terms.
